Term and Conditions

This document is an electronic record and is published in accordance with the Information Technology Act, 2000 and rules thereunder and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2000 and is generated by a computer system and does not require any physical or digital signatures.

1. Terms of Use

1.1. The website mycitydukaan.in (“Website”) and the mobile application ‘Mycitydukaan.in’ (App) (Website and App collectively referred to as the “Platform”) are owned, operated and managed by Mycitydukaan.in Limited, a private limited company incorporated under the provisions of the Indian Companies Act, 2013 having its registered office at Dayal Singh Colony Hansi, Near Gurudwara Teh Hansi District Hisar Haryana (India).

1.2. These Terms of Use govern your use of the Platform, and for the purpose of these Terms, Mycitydukaan.in Limited including its subsidiaries, its holding company, its affiliates may also be referred to as “Mycitydukaan.in”, “we”, “us”, or “our” wherever the context requires and the terms “you”, “your” or “user” refer to the user of the Platform. We value the trust you place in us and therefore we maintain appropriate security standards to safeguard transactions and your information.

1.3. Please read these Terms carefully before using the Platform. By using/accessing the Platform you are entering into a contract with Mycitydukaan.in and you accept these Terms and Mycitydukaan.in’s other policies (including, but not limited to, cancellation and refund terms and the published privacy policy (“Privacy Notice”)) as posted on the Platform and as amended from time to time, which take effect on the date you use the Platform and thereby enter into a legally binding agreement to abide by the same. Further, by providing your Personal Information you consent to Mycitydukaan.in accessing your Personal Information for the purpose of enabling transactions, you also agree that you are interested in availing the Services through the Platform in accordance with these Terms.

1.4. Mycitydukaan.in reserves the unconditional right to modify or amend these Terms. Mycitydukaan.in reserves the right to modify, suspend, discontinue or add any or all of the Services without prior notice and may add or remove relevant terms and conditions if required. Any update of the Terms as a result of changes in legal and regulatory compliance will be done in compliance therewith. Your continued use of and access to the Platform will constitute your consent to any changes we make to these Terms. If the revised Terms are not acceptable to you, you must discontinue accessing the Platform.

2. Access to the Services

2.1. Mycitydukaan.in enables transactions on the Platform between participating vendors and service providers (“Seller(s)”) and Users. Users may order Products (defined below) and Services offered for sale by these Sellers in select serviceable areas across India. Mycitydukaan.in is not a party to and cannot control any transactions between Platform users and Sellers.

2.2. You acknowledge that the Platform allows you to avail a personal, limited, non-exclusive, non-transferable and revocable privilege to access and use the Platform to purchase consumer goods such as grocery, apparel, electronics, health & wellness, cafe products including prepared foods and beverages (Cafe Orders), pet care etc. (collectively, the “Products”) from Sellers on a business to consumer (B2C) basis for personal consumption and from Registered Businesses on a business to business (B2B) basis. Platform services, services such as handling of Products, last mile delivery services including late night deliveries and any other services are provided only with the purchase of Products, for which additional charges may be levied. Registered Businesses may be required to submit additional details of their business, including, without limitation, business name, GSTIN, licenses/registrations issued by government authorities and/or any other information as may be required by Mycitydukaan.in. The User shall be responsible for the accuracy of the GSTIN and legal title. Mycitydukaan.in disclaims any liability arising from incorrect details

2.3. The aforesaid revocable privilege to access does not include/permit any resale or commercial use of the Platform or its Content (as defined below) in any manner. The Seller may, at its discretion, add, modify or remove any of the Products and Services listed above from time to time without notice. The Seller and/or Mycitydukaan.in may, at its discretion, also impose additional terms and conditions specific to any category or section of Products or Services in addition to these Terms and your purchase of any such category or section of Products or Services shall also be deemed to be a condition of your purchase of such additional terms and conditions.

2.3. Mycitydukaan.in shall be governed by the Terms and Conditions. Mycitydukaan.in reserves the right to provide the Services in any area or city in India, as may be determined by Mycitydukaan.in in its sole discretion. Last mile delivery is provided by engaging third party delivery service providers.

2.4. Mycitydukaan.in: (i) does not adopt any ‘unfair trade practices’ on the Platform or otherwise in relation to its Services; (ii) does not discriminate between users of the same class or make any arbitrary classification of users and (iii) does not discriminate between third party delivery service providers.

2.5. Mycitydukaan.in merely acts as an online marketplace and acts as a facilitator enabling transactions between Users and Sellers on the Platform. At no point does Mycitydukaan.in take possession of any Products offered by Sellers nor does it have any right, title or interest in those Products and Services. Mycitydukaan.in is not liable for any obligations relating to non-performance or breach of contracts between Users and Sellers as this is a bilateral arrangement between you and the Seller. Furthermore, Mycitydukaan.in is neither responsible for poor or delayed product or service performance nor for problems arising from products that are out of stock, unavailable or back-ordered.

2.6. Terms and Conditions Applicable to User with Registered Business:

2.6.1. The User represents and undertakes:

2.6.1.1. That the User has the full legal authority and power to purchase the Products and/or Services on behalf of the Registered Business.

2.6.1.2. That the documents and information provided are genuine and complete.

2.6.1.3. That the User will not act as an agent of Mycitydukaan.in.

2.6.1.4. Comply with such other rules as may be applicable or displayed on the Platform from time to time.

3. Eligibility to Use

3.1. The Products and Services are not available to minors, such as persons under the age of 18 (eighteen) years, undischarged insolvents, any User who is not capable of entering into contracts under the Indian Contract Act, 1872, unless otherwise provided hereunder or to any person who has been previously suspended or removed by Mycitydukaan.in from availing the Products or Services or accessing the Platform. You hereby represent that you: (i) are of legal age to form binding contracts, (ii) are not a person barred from receiving services from the Platform under applicable laws; (iii) are capable of entering into binding contracts and (iv) have not been previously suspended or removed or disqualified for any reason from the Platform. If you are under the age of 18, you will only use and access the Platform with the express consent of and under the supervision of a parent or guardian.

3.2. You will not discriminate against third party delivery service providers on the basis of race, religion, caste, creed, national origin, disability, sexual orientation, sex, marital status, gender identity, age or any other metric that is considered unethical and unlawful. Any credible evidence of such discrimination, including refusal to receive products or services based on the above metric, whether alone or in conjunction with any other metric, will disqualify you, which will result in suspension of access to the Platform. You will have no claim against, and we will have no liability for, any such suspension.

3.3. You will not make negative, derogatory, misleading, deceptive or disparaging comments about us or our brands, including Mycitydukaan.in and its affiliates, on the Platform or otherwise, or take any action that may damage the reputation of Mycitydukaan.in or undermine its trademarks. Additionally, you will not place excessive load on the Platform infrastructure or our systems and networks. 4. User Account, Password and Security

4.1. To access the services of the Platform, you must register on the Platform and create an account by providing the required details (“Account”). When you use the Platform, Mycitydukaan.in may also collect personal information such as your name, email, age, photo, address, mobile number and contact details and documents related thereto. This includes: personal information such as gender, occupation and education, as well as your activity on the Platform such as pages visited, links clicked and transaction details, including financial information required to provide the Services and effectively manage the Platform.

4.2. You are solely responsible for the information you provide to us. You must ensure and confirm that the Account Information and all information provided by you is complete, accurate and up-to-date. If there is any change in the Account Information, or if any information is found to be incomplete or inaccurate, you must promptly update your Account Information on the Platform or request Mycitydukaan.in for information modification or update. If the information you provide is untrue, inaccurate, unauthorized, not current, or incomplete (or becomes untrue, inaccurate, not current, or incomplete), Mycityduk aan.in reserves the right to refuse any and all Services if Mycitydukaan.in has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete. Mycitydukaan.in reserves the right to deny access to the Platform at any time without notice.

4.3. The confidentiality of the Account credentials shall be your responsibility. Mycitydukaan.in disclaims any liability for losses caused by unauthorized access to your Account.

5. Payment Information

5.1. Information regarding accepted payment methods on the Platform will be displayed during the purchase process.

5.2. To the extent permitted by applicable law and subject to the Privacy Notice, you acknowledge and agree that Mycitydukaan.in may use certain third-party vendors and service providers, including payment gateways, to process payments and manage payment card information. Such parties are separate from Mycitydukaan.in and you shall be subject to their terms and conditions when making any payment for products and services.

5.3. You undertake to provide valid bank details or other necessary details to facilitate payment for a Transaction (“Payment Details”). By providing Payment Details, you represent, warrant, and undertake that: (a) you are legally authorized to provide such Payment Details; (b) you are legally authorized to make Payments using such Payment Details; and (c) such action does not violate the terms and conditions applicable to your use of such Payment Details or applicable law. You may add, delete and edit Payment Details provided by you from time to time through the Platform.

5.4. Except to the extent otherwise required by applicable law, Mycitydukaan.in is not liable for any payments authorized through the Platform using your Payment Details. Mycitydukaan.in is not liable for any payment that does not complete a transaction for reasons including but not limited to:

(a) insufficient funds in your bank account;

(b) you have not provided the correct payment details;

(c) technical problems or interruptions in the Platform or payment processing systems.

(d) your breach of any of the terms or conditions governing the use of your payment details.

(e) fraudulent activity or unauthorised use of your payment details.

(f) your payment card has expired;

(g) any other reason for declining a payment transaction or

(h) any other circumstances beyond Mycitydukaan.in’s reasonable control that prevent the execution of a transaction.

5.5. Mycitydukaan.in shall not be responsible or obligated to refund any money to you for any unauthorised transaction carried out on the Platform using your payment details.

5.6. Gift Cards: You may use Mycitydukaan.in Gift Cards for purchases on the Platform, redeeming the value contained in such Gift Cards only at the time of payment for purchase of eligible products or services on the Platform. Gift Cards are subject to additional terms and conditions relating to their use and redemption and you agree and consent to abide by them.

5.7. The payment facility offered by Mycitydukaan.in is neither a banking nor a financial service but is merely an electronic, automated online electronic payment system providing a facility to make payments and receive payments on delivery for transactions on the Platform using existing authorized banking infrastructure and card payment gateway networks, as applicable. For certain payment methods, your payment service provider may charge you certain fees related to the processing of your transactions, such as transaction fees or other charges.

5.8. Title to any Product purchased by you on the Platform shall be transferred to you upon your making the applicable payment for the same and complying with any requirements applicable to the Order

6. PRICE OF PRODUCTS AND SERVICES

6.1. The prices of the Products and Services listed by the Sellers on the Platform are determined solely by the Sellers themselves and Mycitydukaan.in does not participate in or influence this pricing process in any way. The prices of each Product and Services may vary due to various factors and you may check the price on the Platform before placing an Order. By placing an Order you agree to pay the prices mentioned therein. All Products listed on the Platform shall be sold in Indian Rupees either at the Maximum Retail Price (MRP) (inclusive of all taxes) or at a discounted price unless otherwise specified. The prices of the Products and Services are an offer for sale by the Sellers and may be revised by the Sellers from time to time without any prior notice. Mycitydukaan.in endeavours to display the Products and Services on the Platform at as accurate prices as possible. There may be inadvertent errors in respect of price and other information of products or services which you may bring to our notice about such errors and we will make necessary corrections, however Mycitydukaan.in shall not be liable if the Seller takes action to cancel such order.

6.2. Users may also be required to check the products or services on the Platform at the checkout page during the transaction. You will be informed of all charges, fees and costs (including Delivery Charges) levied upon purchase of the Goods.

6.3. Expressions such as ‘lowest price’ relate to average prices calculated for all products and services offered for sale by Sellers on the Platform (in most cases compared to competitors in the Instant Commerce segment for Groceries) and are subject to stock availability. Mycitydukaan.in expressly disclaims any liability associated with individual products or services sold on the Platform by Sellers.

6.4. Promotional Vouchers: Promotional vouchers are issued under various names such as Free Cash etc. which are for immediate use during a session or otherwise and expire until used and are subject to cancellation without prior notice.

7. Delivery Charges, ETA and Other Charges

7.1. Delivery Charges include delivery services as part of the sale of Products purchased by you on the Platform. Delivery of the order will be provided to you within the time period indicated through the Platform. While an attempt is made to display an estimated time of arrival (ETA) for every order, delivery times may vary due to factors such as third-party delivery service availability, demand, traffic, weather conditions, force majeure and other unforeseen circumstances. Although Mycitydukaan.in strives to deliver orders within a 10-minute ETA, the actual delivery time may exceed this estimate due to the above factors. You can also view the ETA on the Platform’s homepage before placing an order, ensuring you are informed of the ETA before proceeding. An order placed by you may be split into multiple sub-orders, each of which may potentially have a different ETA.

7.2. Additionally, you agree that certain fees, such as rain, peak hours, high demand or surge periods, late night delivery, handling, convenience, platform usage, buggy fees or other fees, may apply. These charges will be displayed in the “View Bill” section before the checkout page on the Platform. Your Order may contain the following components and related documents:

7.2.1. Supply of Products and Services by Sellers – Tax Invoice issued by Sellers;

7.2.2. Supply of Services by Mycitydukaan.in, if any – Tax Invoice issued by Mycitydukaan.in.

7.3. Delivery of the Order will be made to the address specified by you when placing the Order on the Platform. It is your sole responsibility to ensure that the delivery address is complete, accurate and includes any additional instructions necessary to facilitate delivery. Mycitydukaan.in and its Sellers shall not be liable for non-delivery or delay in delivery due to an incorrect or incomplete address provided by you.

7.4. The Products will usually be delivered when a suitable person is available to receive the Order at the address provided by you. If you request that the delivery be left unattended at your address, you expressly release Mycitydukaan.in from any liability arising from the products being left unattended, including, but not limited to, theft, tampering, contamination, or spoilage due to any cause, including changes in temperature for items requiring chilled or frozen storage.

7.5. If you opt for ‘Cash on Delivery (CoD)’ mode, the Seller/Third Party Delivery Service Providers shall have the right to refuse delivery of the order to you in case you fail to make full payment and Mycitydukaan.in shall treat such order as a cancelled order and shall not be liable to you for any loss or damage caused to you due to such non-delivery. You agree to pay the delivery charges for such cancelled order or any other charges to cover the cost incurred on such delivery attempt.

7.6. Alcoholic Beverages and Tobacco Products:

7.6.1. Delivery of alcoholic beverages and tobacco products to you is subject to fulfilment of the eligibility conditions prescribed under the applicable law in this regard, which may vary from state to state. Mycitydukaan.in and/or the Seller may request you to provide your identity and age proof documents to prove compliance with the aforesaid, which may include Permanent Account Number (PAN) card or other documents or such other information as may be required under law at the time of ordering and delivery of alcoholic beverages and tobacco products. Notwithstanding anything contained in these Terms, the alcoholic beverages and tobacco products ordered will only be delivered to the person from whose account the order has been placed, subject to verification at the time of delivery. In case of non-compliance with this requirement you may be denied delivery of the ordered products.

7.6.2. By accessing the Alcoholic Beverages and Tobacco Products category on the Platform, You represent that You (i) comply with all eligibility criteria under applicable law, including the legal age in Your state of residence and/or where You are accessing the Platform and/or placing an order, (ii) You have not previously been suspended or barred from accessing or otherwise benefiting from the Services from the Platform; (iii) as required, if applicable mit; and (iv) place orders only for your personal consumption, not for resale.

7.6.3. IMPORTANT USER DECLARATION: You agree and undertake not to provide the address of any public place including educational institutions, hospitals and religious places as your delivery address for orders relating to alcoholic beverages and tobacco products. You further agree and undertake that whenever you are placing an order on the Platform, you do not fall under any of the conditions mentioned below:-

a. in a state of intoxication;

b. participating in any unlawful activity;

c. driving any motor vehicle;

d. uniformed officer, and on duty;

e. below the legal age of consuming alcoholic beverages and/or tobacco products.

7.6.4. We have the right to refuse delivery of such products to you in case of any non-compliance by you of the above conditions.

7.7. Terms and Conditions for Purchase of Pharmaceutical Products and Telemedicine Consultation:

7.7.1. Role of Mycitydukaan.in and Disclaimer of Liability

Mycitydukaan.in only acts as a digital marketplace platform that connects Users with third party seller(s) (“Pharmacy”) for the sale and purchase of medicines and pharmaceutical products, which shall include but not be limited to medical devices, prescription drugs (as defined below) and other healthcare and wellness products (Pharmaceutical Products). Mycitydukaan.in expressly disclaims all liability for any omission, error or action taken by the Pharmacy, who is solely responsible for the verification and delivery of the Pharmaceutical Products. Mycitydukaan.in assumes no liability for the quality, accuracy or efficacy of the Pharmaceutical Products delivered by the Pharmacy. Users acknowledge that the role of Mycitydukaan.in is limited to facilitating communication and transactions between Users and the Pharmacy, and any order or transaction is handled solely between the User and the Pharmacy. It is hereby clarified that the manufacturers themselves are responsible for all compliances related to the manufacture of pharmaceutical products, including any labelling, mandatory declaration requirement etc. under applicable laws including but not limited to, Legal Metrology Act, 2009, Drugs and Cosmetics Act 1940, Drugs Rules 1945, Medical Device Rules 2017, Cosmetics Rules 2020, Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954, Food Safety and Standards Act, 2006, Pharmacy Act, 1948, Narcotics and Psychotropic Substances Act 1985 and rules and regulations, guidelines if any, contained in each of the above laws. The pharmacy shall comply with the requirement of all applicable laws. In no event shall Mycitydukaan.in be liable for any non-compliance on the part of the manufacturers or the pharmacy. Similarly Mycitydukaan.in is not responsible if the pharmacy delivers the wrong pharmaceutical product or expired pharmaceutical product to the Users.

7.7.2. Invitation to Offer for SaleNotwithstanding anything contained elsewhere in these Terms, the listing of pharmaceutical products on the Platform by a pharmacy is only an invitation to offer and not an offer for sale. When you place an order, it is your offer to enter into an agreement with the pharmacy. Acceptance of your offer will be determined by the relevant pharmacy after verification/validation of your prescription (for prescription drugs) and availability of stock at the pharmacy (for all pharmaceutical products).

7.7.3 Prescription Requirements

Users may purchase certain pharmaceutical products, referred to herein as “Prescription Drugs”, provided they submit a prescription. These prescription drugs are offered for sale by pharmacies on the Platform. The prescription must be uploaded to the Platform, where it will be sent to the pharmacy for verification/validation. Pharmacies will issue invoices in the name that appears on the prescription. If any discrepancies are found in the prescription, the pharmacy has the right to cancel the order immediately. If discrepancies or inaccuracies are found, the pharmacy reserves the right to reject any prescription order. Users will order only on the basis of genuine and untampered original prescriptions and will be subject to verification; failing which the prescription drugs ordered may not be delivered. If the prescription is uploaded on behalf of another person, the User warrants that he/she has the necessary authorization to act in this capacity and assumes all related responsibilities.

7.7.4. Delivery of medicines

You agree to appoint a person who will act in the capacity of your agent and collect the prescription medicines requested by you from the pharmacy on your behalf (“User Agent”). You acknowledge and accept that the User Agent will be responsible for collecting the medicines ordered by you from the pharmacy and taking them to the address notified by you. You further acknowledge that the User Agent will act as your authorized representative in this arrangement. The Platform/Pharmacy is running on behalf of the Platform and their actions in collecting and transporting the prescription drugs are done with your consent. The Platform/Pharmacy’s role is limited to facilitating the connection between you and the User Agent and it does not take any responsibility for the actions of the User Agent in the collection or delivery process. Users agree and undertake to ensure that they will upload genuine, untampered, legible and complete prescriptions for the purchase of prescription drugs.

7.7.5. Reuse of Prescription

Users agree and undertake that they will not reuse a prescription that has already been filled. Mycitydukaan.in takes no responsibility for any adverse consequences arising from self-directed use of the drug by the User and Users are advised to consult a medical professional regarding potential side effects, drug interactions and other related information before consuming any prescription drug or other medications.

7.7.6. Drug Substitution

Orders for substitution of prescribed drugs will only be processed if the prescribing physician has explicitly authorized the dispensing of an equivalent generic drug in place of the prescribed brand-name drug, if the prescription specifies only generic salt names, or if the physician has indicated on the prescription that substitution is permitted. If none of the conditions are met, the pharmacy will not process a substitution. Users acknowledge that responsibility for substitution authorizations in such cases rests solely with the prescribing physician.

7.7.7. Telemedicine Consultation Services and Disclaimer

If the prescription uploaded by you is found to be fake, tampered with, illegible, incomplete or unavailable, Mycitydukaan.in may facilitate a consultation between you and Telemedicine Consultants (as defined below) to assist you. Mycitydukaan.in does not provide medical advice or consultation on health matters. All content available through the Platform, including articles, blogs, images and other informational content, is purely for educational purposes and is not a substitute for direct professional healthcare advice. Telemedicine consultations available on the Platform are offered through independent contractors (“Telemedicine Consultants”) whom Users hire at their sole discretion. The opinions and guidance provided by Telemedicine Consultants are their own and do not represent the views of Mycitydukaan.in or the pharmacy. Users are encouraged to consult individual healthcare providers as needed to confirm any information or recommendations received from Telemedicine Consultants.

7.7.8. Limitations of Telemedicine Consultation Services

Users acknowledge the inherent limitations of telemedicine consultations, as Telemedicine Consultants cannot perform physical examinations. Mycitydukaan.in and the pharmacy disclaim all liability for any loss or damage arising from reliance on telemedicine consultants and urge users to independently verify any digital medical advice. The nature of telemedicine consultations may limit the clinical scope, making it important for users to seek in-person consultation. Telemedicine consultants may not be able to provide adequate answers without additional medical details and may therefore request additional information or decline questions that require personal investigation. Any false or misleading information submitted by the user renders the telemedicine consultation invalid. In some cases, technical or security failures may compromise the confidentiality of medical information, which the user agrees to bear as a risk of using the service. Telemedicine consultations do not replace or substitute your relationship with your physician or healthcare provider. Any information provided by telemedicine consultants should not be construed as a substitute for professional medical advice, evaluation or care from your physician or other qualified healthcare professionals.

7.7.9. Medical Emergencies

Users experiencing medical emergencies should immediately seek professional medical assistance from their nearest healthcare provider or emergency service. Under no circumstances should Users rely solely on the Platform for urgent healthcare needs or delay seeking necessary medical care based on any information obtained through the Platform.

7.7.10. Prescription and Transaction Records

Mycitydukaan.in and the Pharmacy may keep records of prescription and transaction details in accordance with applicable regulations and for legitimate operational purposes.

8. Returns, Cancellations and Refunds:

8.1. Returns:

8.1.1 You may return products in an order, provided that the following conditions are met:

8.1.1.1. the delivery of an incorrect item other than the Product you ordered in an Order, or

8.1.1.2. the items are substantially damaged or of poor quality upon delivery. You agree That you will provide all necessary evidence, including but not limited to photographs of the problem Products.

8.1.2. You will inspect the Products at the time of delivery and initiate an exchange or return with the required evidence available on the Platform. You may also exchange or return Eligible Products by contacting our Customer Support team.

8.1.3. You may request an exchange or return of Eligible Products purchased from the Seller, provided the Products are in sealed/unopened/unused and original condition and on the same day of delivery/or as per the exchange/refund timeline suggested by the Seller/displayed on the Product Check Out page, if any. Please note, requests for exchange or return will not be accepted after the day the Product/Products were delivered to you, unless there are certain categories of Products for which a higher return or exchange period is provided. You are requested to dispose of the Products for which a refund has been processed. It is clarified that your request for exchange or return of products will only be processed if the relevant Seller accepts such request.

8.1.4. For digital products, including gift cards and vouchers, no returns or refunds are permitted. If you encounter any issues relating to validity, usage restrictions or redemption, you should contact the relevant issuer. Please review the terms and conditions of the issuer or platform that apply along with these Terms.

8.2. Cancellation: You may cancel an order without charge at any time before the Seller accepts the order. You cannot cancel an order after the order has been accepted. Your order may be cancelled (in whole or in part) for reasons including shortage or unavailability of certain products or force majeure, unavailability of services, unforeseen circumstances, delivery issues or concerns about fraudulent activity or non-compliance with these Terms. In case of acceptance of cancellation of any order, you will not be charged for such cancellation and you will receive a refund for any payment already made as soon as possible.

8.3. Refunds: Please note that when you choose to return the Products, after verification of the Products and their related documents, the refund amount for such Products which are eligible for refund as per these Terms will be processed within a period of seven (7) business days from the date of receipt and confirmation of the refund request. Your refund will be processed only if the conditions stipulated by us are met. The refund amount will be credited to the Source Account. You acknowledge that after initiation of refund, it may take additional time for your refund to reflect in your Account which is subject to the terms and conditions of your financial institution or payment gateway service provider. Provided that refund for Products purchased on Cash on Delivery basis, if any, may also be refunded through coupons/vouchers which will have an expiry period. Users can also opt-in for coupon/voucher refunds for online payments if they are provided.

The terms for acceptance of returns, cancellations and refunds shall be subject to appropriate additional terms and conditions as communicated to the User from time to time.

9. User Care:

9.1. The User acknowledges and agrees that Mycitydukaan.in shall not be held liable for:

9.1.1. The services or products offered by the Sellers, including but not limited to Cafe Orders, may or may not meet your preferences or requirements.

9.1.2. Any issues arising from the quality of the Seller’s services or products, or services provided by third party delivery service providers that do not meet the User’s expectations, which may potentially result in loss, damage or harm.

9.1.3. Unavailable products or services.

9.1.4. Any liability associated with orders fulfilled by the wrong Seller, or products sold by the Seller.

9.2. The information about the Products and related catalogues displayed on the Platform, including pricing, are provided by the Sellers. Mycitydukaan.in cannot be held liable for any change, accuracy or error or omission in the information, or the unavailability of these products and services.

9.3. Mycitydukaan.in is not and cannot be a party to any transaction between you and the Sellers or have any control, involvement or influence over the Products purchased/Services received by you from such Sellers. You acknowledge and agree that Mycitydukaan.in shall not, at any time, have any ownership, control and/or title to any Product which is the subject of a bilateral sale and purchase transaction between you and the relevant Seller. Mycitydukaan.in does not provide any warranty or guarantee in respect of the products and/or services offered for sale on the Platform and disclaims any liability in respect of manufacturing defects, quality, taste, performance of the products/services sold. All commercial and contractual arrangements in respect of the products and services offered for sale are solely between the Users and the Sellers. These arrangements contain various terms, including price scheduling, product and service quality, applicable taxes, delivery and other charges, payment terms, warranties (if any), and after-sales support. Mycitydukaan.in may, however, provide support services to Sellers in relation to order fulfillment, payment methods, payment collection, customer support, technology and other ancillary services, pursuant to independent contracts executed between Mycitydukaan.in and Sellers.

9.4. Mycitydukaan.in does not guarantee or endorse the specifications of any Seller, including aspects such as legal ownership, creditworthiness or identity. We recommend that you perform your due diligence and exercise your discretion to verify the legitimacy of any Seller you wish to engage with on the Platform. All offers from Sellers and third parties are governed by their respective terms and conditions and Mycitydukaan.in takes no responsibility for these offers.

9.5. You agree and understand that the Product Images are a representation of the Product and are not the actual image of the Product sold to you and that you should read the physical product label for calorie and nutritional value before consuming the Products, including but not limited to instructions, batch, manufacturing date, use by date/shelf life, ingredients, weight, manufacturer and customer support details as may be relevant, including but not limited to Café Orders. While every reasonable effort is made to maintain the accuracy of the information on the Platform, the actual Product packaging may contain more and/or different information than that shown on the Platform. It is recommended to refer to the information presented on the actual Product packaging.

9.6. Mycitydukaan.in reserves the right to refuse to process Transactions by Users who have a past history of suspicious transactions, including without limitation breach of any agreement by the User with Mycitydukaan.in or breach of any law or breach of any charges levied by a bank or breach of any policy, without assigning any reason thereof. Mycitydukaan.in may conduct such checks as it deems fit before approving a User’s order for security or other reasons, at Mycitydukaan.in’s discretion. As a result of such checks, if Mycitydukaan.in is not satisfied about the credibility of the User or the genuineness of the transaction, it shall have the right to reject orders placed by such Users or disable their access to the Platform. Transactions on the Platform may be delayed, suspended or cancelled at Mycitydukaan.in’s discretion for any reason (to maintain the integrity, security and fair use of the Platform), including but not limited to suspicious activities, concerns about the authenticity or behaviour of a User, unusually high transaction volumes, security concerns or to ensure fair use of the Platform. Beware of Fraud:

9.7. Please do not share your debit/credit card number, CVV number, OTP, UPI/ATM PIN and other sensitive information with anyone claiming to be a representative of Mycitydukaan.in. Mycitydukaan.in or its authorized representatives will never ask you to share the above details. Beware of fraudsters and please report incidents immediately to your bank, nearest police station and https://cybercrime.gov.in/.

9.8. For assistance with issues related to Mycitydukaan.in orders or refunds, click on the ‘Get Help’ section on the app.

9.9. Please be cautious in verifying portal/website links claiming to be Mycitydukaan.in or payment links shared on social media or social messaging apps claiming to be Mycitydukaan.in, discounts or offers and active calls from unauthorized numbers or unauthorized social media accounts seeking personal/financial information.

10. USE OF THE PLATFORM

10.1. Subject to your compliance with the Terms, Mycitydukaan.in grants you a personal, non-exclusive, non-transferable, limited, revocable privilege to access and use the Platform. You agree to use the Platform only: (a) for purposes that are permitted by the Terms; (b) in accordance with any applicable law, regulation or generally accepted practices or guidelines; and (c) to avail of the Services through the Platform. You agree not to engage in activities that may adversely affect the use of the Platform by Mycitydukaan.in and/or other Users.

10.2. You agree not to reproduce, duplicate, copy, sell, resold or otherwise exploit for commercial purposes the Platform or any portion of the Platform.

10.3. You agree not to frame or utilize framing techniques to enclose any trademark, logo or any other proprietary information of the Platform.

10.4. You agree not to access (or attempt to access) the Platform by any means other than through the interface that is provided by Mycitydukaan.in. You agree not to use any deep-link, robot, spider or other automatic device, program, algorithm or methodology to access, acquire, copy or monitor any portion of the Platform or the Content. li, or any similar or equivalent manual process, or reproduce or circumvent in any way the navigational structure or presentation of the Platform, the Content or any Content, obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the Platform.

10.5. In addition, you undertake not to host, display, upload, modify, publish, transmit, store, update or share any information that:

10.5.1. belongs to another person and to which the User has no right;

10.5.2. is defamatory, obscene, pornographic, paedophilic, invasive of another’s privacy, including bodily privacy, derogatory or harassing on the basis of gender, defamatory, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or is otherwise inconsistent with or contrary to applicable laws;

10.5.3. is harmful to children;

10.5.4. infringes any patent, trademark, copyright or other proprietary rights;

10.5.5. violates any law for the time being in force;

10.5.6. impersonates another person;

10.5.7. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States or public order, or incites the commission of any cognizable offence or prevents investigation of any offence or is insulting to another nation;

10.5.8. contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;

10.5.9. is patently false and untrue, and is written or published in any form with the intent to mislead or harass any person, entity or agency for financial gain or to cause any injury to any person;

10.5.10. Interferes with, disrupts, or otherwise harms the security of the Platform, system resources, accounts, passwords, servers, or networks connected to or accessible through the Platform or any affiliated or linked site;

10.5.11. violates the terms contained herein or elsewhere; and

10.5.12. reverse engineers, modifies, copies, distributes, transmits, displays, performs, reproduces, publishes, licenses, creates derivative works from, transfers or sells any information or software obtained from the Platform.

10.6. You shall be solely responsible for maintaining the necessary computer equipment, gadgets and internet connection needed to access, use and transact on the Platform.

10.7. You understand and acknowledge that by using the Platform or any Services, you may encounter Content that may be considered offensive, indecent or objectionable by some users, which may or may not be identified as such. You agree to use the Platform and any Services at your own risk and to the fullest extent permitted under applicable law. 11.2. The trademarks, logos and service marks displayed on the Platform (the “Marks”) are the licensed property of Mycitydukaan.in or are owned by third parties. You are not permitted to use the Marks without the prior consent of Mycitydukaan.in or the relevant third party (that is the owner of the Marks) respectively. Access to or use of the Platform does not authorise any party to use the trademarks, logos or any other marks in any manner.

11.3. Mycitydukaan.in disclaims any right, title or interest in any intellectual property rights arising from or connected with the products and services sold by Sellers on the Platform.

11.4. Reference to any names, marks, services or products of third parties on the Platform is provided for your convenience, and does not constitute an endorsement, sponsorship or recommendation of any kind, whether express or implied.

11.5. Where the Platform contains links to other sites provided by third parties, these links are provided for information only. We have no visibility or control over the content available on or through those sites and you acknowledge and agree that we have no liability for any such content.

11.6. The Mycitydukaan.in word mark and variations as well as the device mark displayed on the Platform shall be our licensed property and any use, unless expressly permitted in writing, shall be deemed to be an infringement and you agree and undertake that you will not violate our intellectual property rights. Identify and, upon obtaining knowledge of any violation by a third party, will report to us at mycitydukaan.in@gmail.com.

12. Disclaimer of Warranties and Liability

12.1. You expressly understand and agree that, to the maximum extent permitted by applicable law:

The Platform and other content are provided by Mycitydukaan.in on an “as is” basis without warranty of any kind, express, implied, statutory, or otherwise, including without limitation any implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Without limiting the above, Mycitydukaan.in makes no warranty that the Platform or the Services will meet your requirements, or that your use of the Platform will be uninterrupted, timely, secure, or error-free. No advice or information, whether oral or written, obtained by you from Mycitydukaan.in shall create any warranty not expressly stated in the Terms.

12.1.2. Mycitydukaan.in shall not be liable for any losses suffered by you in connection with the Platform as a result of any unauthorized use of your account or account information, whether with or without your knowledge.

12.1.3. Mycitydukaan.in shall not and is not obligated to mediate or resolve any dispute or disagreement that may arise between you and the Sellers. Mycitydukaan.in does not implicitly or explicitly endorse any sale or purchase of products or services listed on the Platform. However, upon receipt of a written request from you following your purchase of any products and/or services on the Platform, Mycitydukaan.in may provide additional information about the Sellers involved in the transaction to facilitate direct communication between you and the Sellers for the purpose of dispute resolution.

12.1.4. Mycitydukaan.in has attempted to ensure that all information on the Platform is accurate, but Mycitydukaan.in neither warrants nor makes any representations about the quality, accuracy or completeness of any data, information regarding the Services or otherwise. Mycitydukaan.in shall not be responsible for the delay or inability to use the Platform or related functionalities, the provision or failure to provide functionalities, or any information, software, functionalities and related graphics obtained through the Platform, or for any other situation arising out of the use of the Platform, whether based on contract, tort, negligence, strict liability or otherwise. By visiting the Platform or providing your information, you expressly agree to be bound by these Terms and our Privacy Notice and also agree to be governed by the laws of India, including but not limited to applicable laws on data protection and privacy. 12.3. The Terms do not applyThe Terms may not be used for or in connection with any promotional activities or solicitation by any person in any jurisdiction in which such promotional activities or solicitation are not authorised or to any person whose promotion or solicitation is unlawful.

12.6. You acknowledge that third-party services are available on the Platform, and we may partner with certain third parties to facilitate such services. However, you agree that we make no representations or warranties about these third-party services or products and will not be liable for any consequences, including injury, loss or death, resulting from your use of them. You waive any rights or claims you may have against us with respect to third-party services.

13. Indemnification and Limitation of Liability

You agree to indemnify, defend and hold harmless Mycitydukaan.in, vendors, service providers, its officers, directors, consultants, agents, representatives and employees; and its third party partners (the “Indemnitees”) from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including reasonable legal fees) incurred by or incurred by the Indemnitees that arise out of, or become payable to, your breach or non-performance of any representation, warranty, covenant or agreement or obligation to be made by you pursuant to these Terms and/or the Privacy Notice. In addition, you agree to hold the Indemnitees harmless against any claim made by any third party due to or arising out of your use of the Platform, any misrepresentation you make regarding data or information provided by you, your breach of the Terms and/or the Privacy Notice, your violation of applicable laws, or your violation of any rights of a third party, including any intellectual property rights. 13.2. In no event shall Mycitydukaan.in, its vendors, its service providers and its directors, officers, partners, consultants, agents and employees and its partners, be liable to you or any third party for any special, incidental, indirect, consequential or punitive damages arising out of or relating to your use of or access to the Platform or the content on the Platform. Notwithstanding any provision herein, the maximum aggregate liability of Mycitydukaan.in, vendors, service providers shall not exceed the amount paid by the User for the purchase of products and/or services under the specific order to which the liability relates.

14. Breach of these Terms

14.1. You agree that any violation of these Terms by you could cause irreparable harm to Mycitydukaan.in for which monetary damages would be inadequate, and you consent to Mycitydukaan.in obtaining any injunctive or equitable relief that it deems necessary or appropriate under such circumstances. These remedies are in addition to any other remedies Mycitydukaan.in may have at law or in equity.

15. Suspension and Termination

15.1. These Terms will continue in effect until terminated by either you or Mycitydukaan.in as set forth below. If you object to the Terms or are dissatisfied with the Platform, you may (i) close your account on the Platform; and/or (ii) stop accessing the Platform.

15.2. Mycitydukaan.in may disable your access or block your future access to the Platform or suspend or terminate your Account if it believes that you have violated any term of these Terms or the Privacy Notice or have acted in any unethical manner. Notwithstanding anything contained herein, all terms which by their nature are intended to survive such termination shall survive indefinitely until Mycitydukaan.in chooses to terminate them.

15.3. Any such termination shall not cancel your obligation to pay for any product or service purchased on the Platform, or any other obligation which has accrued, or has not been fulfilled and relates to the period prior to termination.

15.4. You will remain liable to pay any fees or charges levied by either party in connection with the Services up to the date of termination.

16. Governing Law and Jurisdiction

18.2. Intellectual property owners may report potentially infringing products or listings by submitting a Notice of Infringement, which includes all the details mentioned below. Mycitydukaan.in cannot independently verify that sellers have the rights to sell or distribute their products or services, but is fully committed to protecting intellectual property rights.

18.3. Steps to Report a Listing:

If you have a sincere belief that a seller on our Platform is infringing your intellectual property rights, please follow the steps below. We request you to provide the following information and email it to mycitydukaan.in@gmail.com. The email must include:

18.3.1. Identification or details of the copyrighted work/trademark that is claimed to have been infringed, along with registration/application details and images.

18.3.2. Your contact information.

18.3.3. An undertaking from you that

a. You have a good faith belief that use of the material complained of is not authorised by the trademark or copyright or intellectual property owner, its agent or the law.

b. The information provided in the notice is accurate and that you are the trademark or copyright or intellectual property owner or authorised to act on behalf of the trademark or copyright or intellectual property owner.

18.3.4. Such other information as you feel is important to support your claim.

18.4. Action by Mycitydukaan.in

After receiving the duly completed notice along with the required documents as mentioned above and confirming the authenticity of the claim, Mycitydukaan.in may take steps to remove or disable access to the alleged infringing material provided by the third party. Mycitydukaan.in may also notify the relevant seller who submitted the relevant content, by providing them with a copy of the infringement notice. We reserve the right to take any further action permitted by applicable laws at the time of notification.

19. Communications

19.1. You expressly consent to receive communications from Mycitydukaan.in and other third parties duly authorized by Mycitydukaan.in via electronic communications such as SMS, telephone or VoIP calls, messaging apps such as WhatsApp to the registered mobile phone number, or e-mail. You expressly consent to the monitoring and recording by Mycitydukaan.in and/or any third party of any and all communications between you and Mycitydukaan.in or its agents, employees, consultants, contractors or representatives of Mycitydukaan.in or their authorized partners, and such monitoring or recording waives the need for any further notice or consent under applicable laws.

19.2. You may unsubscribe or opt-out from receiving promotional communications from Mycitydukaan.in. In which case, Mycitydukaan.in will only send communications necessary for the purposes of you availing the Services.

20. General Provisions

20.1. Notices: All notices from Mycitydukaan.in will be sent by email to your registered email address or by messaging app to your registered mobile phone number or by general notification on the Platform.

20.2. Assignment: None of the rights granted to you hereunder may be assigned or otherwise transferred to any third party. Mycitydukaan.in’s rights and obligations under the Terms may be freely transferred by Mycitydukaan.in to its successors or its affiliates or to any third party without your consent.

20.3. Severability: If for any reason any provision of the Terms or any portion thereof is unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intention of the parties as reflected by that provision and the remainder of the Terms shall continue in full force and effect.

20.4. Force Majeure: Mycitydukaan.in, its vendors, its service providers shall not be liable to you for its failure or delay in providing access to your Account or the Platform or any of its Services, unless such failure or delay results from causes beyond its reasonable control, including, without limitation, acts of God, fire, explosion, war or other hostilities, insurrections, revolutions, strikes, labour unrest, earthquakes, floods, riots, excessive rains, epidemics, pandemics or regulatory or quarantine restrictions, unforeseen governmental restrictions or controls or failure by any third party hosting provider or internet service provider or due to any change or defect in the software and/or hardware of your computer system.

21. Advertising

21.1. As part of the Services we provide, we may facilitate and allow third party advertisers (“Third Party Advertisers”) to advertise on the Platform. You understand that any Content placed by Third Party Advertisers is not edited, reviewed or otherwise endorsed by Mycitydukaan.in and we disclaim any liability to the fullest extent permitted by law for Content published by Third Party Advertisers on the Platform It is the sole responsibility of the third party advertisers submitting content to the Platform to ensure compliance with all relevant laws. Any interactions or transactions you enter into with third party advertisers found on the Platform, including payment, delivery and terms or representations relating to their goods or services, are solely between you and the third party advertiser. Mycitydukaan.in assumes no liability for errors, omissions or inaccuracies in advertising content or for any loss or damage arising from your dealings with these advertisers or their presence on the Platform.

21.2. Insofar as you are a third party advertiser, you understand that in addition to these Terms you must also agree to Mycitydukaan.in’s policies and other contractual agreements that you must execute in order to place your advertisement. As a general principle the content in advertisements must not be misleading or in breach of applicable law or guidelines issued by the Advertising Standards Council of India or any other self-regulatory body. You also acknowledge that we have the sole right to remove any Third Party Advertisement or require you to prove factual confirmation at our discretion, if we believe it violates applicable law or the guidelines of any self-regulatory industry body or is otherwise misleading.

21.3. If you believe that the content of a Third Party Advertiser is inappropriate or violates applicable law, please write to us at the email address provided above.

21.4. For any charitable campaign information shared with Users or displayed on the Platform, where donations may be made through third party sites or accounts, Mycitydukaan.in may not be involved in the fund collection or use. Mycitydukaan.in takes no responsibility for the accuracy or validity of the campaign information, which is provided for reference only. Users are encouraged to verify details independently before taking action.

22. Severability:

22.1. If any part of these Terms is found to be invalid, void or unenforceable, that part will be deemed severable, and the remaining provisions will continue in full force and effect.

23. Amendments:

23.1. We may modify these Terms from time to time, without prior notice, to include updates, amendments, additions or new policies that affect your use of the Services. 24. Transition:

24.1. The Platform is undergoing a transition where the Platform will be operated by MYCITYDUKAAN.IN Marketplace Private Limited from a date which will be notified to you. Existing users of the MYCITYDUKAAN.IN Services as of the transition agree to the following:

24.1.1. To transfer unused funds held in your Wallet balance to a MYCITYDUKAAN.IN Gift Card.

24.1.2. To ensure a seamless experience for users following the transition by MYCITYDUKAAN.IN’s service provider for the transfer of your payment-related information and available means.

23. Entire Agreement:

23.1. This document, including the Privacy Notice and any policies introduced by Mycitydukaan.in from time to time, represents the entire understanding between you and Mycitydukaan.in. It establishes the terms for your access to and use of the Services and Platform which supersedes any prior arrangements relating to such access or use.
